Terms of Service

Welcome to the AI Workstation for Teams (the “Service”). These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“you” or “User”) and Sciox.ai (“Company,” “we,” “us,” or “our”) concerning your access to and use of the Service.

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

The AI Workstation for Teams is a software-as-a-service platform that provides a private, secure, and intelligent workspace for teams to enhance productivity and collaboration. The Service allows you to unify your team’s documents and data to create a context-aware AI assistant.

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Promptly notify us if you discover or suspect any security breaches related to the Service.
• Be solely responsible for all activities under your account and for all content uploaded by users within your team (“User Content”).

You agree not to use the Service in any way that is unlawful or harms the Company, its service providers, your end-users, or any other person. Specifically, you agree not to:

• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
• Use the Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material.
• Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.
• Attempt to gain unauthorized access to the Service or its related systems or networks.
• Use the Service to develop a competing product or service.

Access to the Service may require you to pay subscription fees. All fees are in U.S. Dollars and are non-refundable, except as required by law. You agree to provide us with a valid and updated payment method.

We will bill you in advance on a recurring, periodic basis (“Billing Cycle”). Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it through your account management page or by contacting us.

The Service integrates with third-party services, including Google APIs (Gmail, Docs, Sheets, Calendar) and the OpenAI API. Your use of the Service is subject to the terms and policies of these third parties.

• Google: By authenticating your Google Account, you agree to comply with Google’s Terms of Service and Privacy Policy.
• OpenAI: The AI functionalities of the Service are powered by OpenAI. You are responsible for maintaining your own OpenAI account and API key and for complying with all OpenAI policies. You are solely responsible for all costs associated with your use of the OpenAI API.

• Our Intellectual Property: We own all right, title, and interest in and to the Service, including all related intellectual property rights.
• Your Intellectual Property: You retain ownership of all intellectual property rights in your User Content. You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display your User Content solely for the purpose of operating, providing, and improving the Service for you and your team.

We will treat your User Content as confidential information and only use and disclose it in accordance with these Terms and our Privacy Policy. We will maintain commercially reasonable administrative, physical, and technical safeguards to protect your confidential information.

These Terms will remain in full force and effect while you use the Service. We may suspend or terminate your account at any time, without prior notice, for any reason, including for any breach of these Terms. Upon termination, your right to use the Service will immediately cease.

THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF.

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the “Last Updated” date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates.
